Karatvue terms of service
1. Who provides the service
The Karatvue service is provided by HEXART Sp. z o.o., with its registered office in Gdynia, al. Zwycięstwa 96/98, 81-451 Gdynia, Poland (“HEXART”). Contact: biuro@hexart.pl, +48 662 016 430.
2. What Karatvue is
Karatvue is an application for Windows and macOS computers which, from the product material supplied by the Customer (a web address, photos, a description), generates photos with artificial-intelligence models. The photos, the characters and the work history are saved in a folder the Customer chooses on their own computer. Calls to the AI models pass through the HEXART server, which charges them to the Customer's prepaid account.
3. Licence
- The Customer receives a licence key once the agreement is concluded (usually after the demo and the first top-up). The key allows the application to be installed on the number of seats written in the licence, one by default.
- The licence is non-exclusive, non-transferable and limited to use in the Customer's business. Sharing the key with third parties, decompiling the application and circumventing the licensing mechanisms are prohibited.
- HEXART may terminate the licence with immediate effect in the event of a breach of these terms, in particular when the key is shared. The unused balance is then refunded less documented costs.
4. Billing
- The service is charged to a prepaid account kept in Polish złoty. The Customer tops the account up by card (Stripe) or by bank transfer against a pro forma invoice. A transfer is credited once the payment has been booked.
- The cost of every AI model call is charged after it completes and is shown in the application before the render as an estimated price and after the render as the amount charged. The prices follow from the model's cost and the margin set in the agreement.
- The balance does not expire. The unused balance can be refunded at the Customer's request within 14 days of terminating the agreement.
- The optional cloud backup is charged as a fixed monthly fee taken from the balance; its amount is written in the agreement.
- HEXART issues a VAT invoice for every top-up.
5. Generated results
- The photos the Customer generates in the application belong to the Customer to the extent the law and the terms of the AI model providers allow. HEXART claims no rights to them and does not store them.
- AI models may produce results that are unpredictable or differ from the reference product. The Customer is responsible for checking the photos before publication, including labelling generated content where the law requires it.
- The Customer undertakes not to use the service to generate content that breaks the law, infringes third-party rights or violates the model providers' policies.
6. Availability and support
HEXART makes every effort to keep the billing server available without interruption, but reserves the right to announced maintenance breaks and cannot answer for outages at the AI model providers. Technical support is available by e-mail on working days between 9 and 17.
7. Liability
HEXART's liability under the agreement is limited to the top-up amounts the Customer paid over the last 12 months. HEXART is not liable for lost profits or for the consequences of using the generated photos. The limitation does not apply to damage caused intentionally.
8. Personal data
How personal data is processed is described in the privacy policy.
9. Changes to these terms
HEXART announces changes to these terms by e-mail 14 days in advance. A Customer who does not accept the changes may terminate the agreement before they take effect; the balance is refunded.
10. Governing law
The agreement is governed by Polish law. Disputes are settled by the court competent for HEXART's registered office. When the Customer is a consumer, the dispute is settled by the court competent under the general rules.
